    Agreement to Terms

    By accessing or using UltClip ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

    These Terms apply to all visitors, users, and others who access or use the Service. Your use of the Service is also governed by our Privacy Policy, which you should review.

    Description of Service

    UltClip is an AI-powered creative studio platform that provides tools for photo and video editing, including but not limited to AI filters, style transfer, and other generative AI features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

    User Accounts

    To use certain features of the Service, you must register for an account. You agree to:

    • Provide accurate, current, and complete information during registration
    • Maintain and update your account information to keep it accurate
    • Maintain the security of your password and account
    • Accept responsibility for all activities that occur under your account
    • Notify us immediately of any unauthorized use of your account

    Acceptable Use Policy

    You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

    • Upload, create, or generate any content that is illegal, harmful, or violates any applicable laws
    • Upload, create, or generate content that infringes on intellectual property rights of others
    • Upload, create, or generate content that is defamatory, harassing, abusive, or discriminatory
    • Upload, create, or generate content that promotes violence, hate speech, or illegal activities
    • Attempt to reverse engineer, decompile, or extract the source code of our AI models
    • Use the Service to create automated systems that abuse or overload our infrastructure
    • Impersonate any person or entity or misrepresent your affiliation with any person or entity
    • Interfere with or disrupt the Service or servers connected to the Service

    Violation of these usage restrictions may result in immediate termination of your account and legal action.

    AI Acceptable Use Policy

    Strictly Prohibited Uses:

    • Non-consensual sexual content (NCII) or NSFW material
    • Deepfakes intended to deceive, defraud, or harass others
    • Content that depicts child exploitation or extreme violence
    • Any content that violates human dignity or promotes illegal activities

    Violation of this AI Acceptable Use Policy will result in immediate account termination without refund. We reserve the right to report violations to appropriate law enforcement authorities.

    User Rights and Ownership

    Users own their generated creations.

    When you use UltClip to create content, you retain all rights, title, and interest in the content you generate, subject to your compliance with these Terms. By using the Service, you grant UltClip a limited, non-exclusive, worldwide, royalty-free license to:

    • Use, store, and process your content solely to provide and improve the Service
    • Display your content within the Service as necessary for functionality
    • Use anonymized, aggregated data for analytics and service improvement

    This license terminates when you delete your content or account, except for content that has been shared publicly or with other users.

    Intellectual Property Rights

    The Service, including its original content, features, and functionality, is owned by UltClip and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

    You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software.

    Ownership of AI Generations

    Subject to your compliance with these Terms, you own all rights, title, and interest in and to the content you generate using our Services ("Output"). You are free to use your Output for commercial purposes. UltClip does not claim copyright over your generated images or videos.

    You are responsible for ensuring that your use of the Output complies with all applicable laws and regulations, and that you have all necessary rights to use any input content you provide to the Service.

    Payment Terms

    Some features of the Service require payment. By purchasing credits or a subscription, you agree to:

    • Pay all charges associated with your account
    • Provide accurate payment information
    • Authorize us to charge your payment method for all fees

    Refund Policy for Credits: Credits purchased are non-refundable unless required by law. However, we may offer refunds for technical failures or service disruptions on a case-by-case basis at our sole discretion. To request a refund due to a technical issue, please contact us at support@ultclip.com.

    Prices are subject to change with notice. All fees are non-refundable except as specified above or as required by law.

    AI Disclaimer

    The Services use artificial intelligence. Output is generated probabilistically and may contain artifacts, inaccuracies, or defects. We do not guarantee the quality or suitability of the Output for any specific purpose.

    AI-generated content may not always meet your expectations, and results may vary based on input content, processing parameters, and other factors. You acknowledge that the Output is generated by AI and may require review, editing, or refinement before use.

    Service Availability

    We strive to provide reliable service but do not guarantee that the Service will be available at all times. The Service may be unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any loss or damage resulting from Service unavailability.

    Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, ULTRACLIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

    Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

    Indemnification

    You agree to defend, indemnify, and hold harmless UltClip and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Service or violation of these Terms.

    Termination

    We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

    You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

    Changes to Terms

    We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

    By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

    Governing Law

    These Terms shall be governed by and construed in accordance with applicable laws, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through appropriate legal channels.
